Artikel 1 – Algemeen
1.1 Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen, offertes, leveringen, bestellingen en overeenkomsten van FEROX Products B.V., gevestigd aan Warmoltseiland 25, 9766 VH Eelderwolde, Nederland, ingeschreven bij de Kamer van Koophandel onder nummer 77849361.
1.2 FEROX Products B.V. (hierna: “FEROX”) levert uitsluitend aan zakelijke klanten (B2B).
1.3 Afwijkingen van deze voorwaarden zijn slechts geldig indien deze schriftelijk zijn overeengekomen.
1.4 Levering vindt plaats hoofdzakelijk in Nederland, en op aanvraag in België en Luxemburg.
Artikel 2 – Offertes, bestellingen en maatwerk
2.1 Offertes van FEROX zijn vrijblijvend en onder voorbehoud van beschikbaarheid en prijswijzigingen.
2.2 Na acceptatie van een offerte of plaatsing van een bestelling door de klant komt een overeenkomst pas tot stand na schriftelijke orderbevestiging door FEROX of ontvangst van een getekende inkooporder.
2.3 Bestellingen van maatwerkproducten (“specials”) worden uitsluitend in overleg met de klant én fabrikant uitgevoerd. Deze bestellingen zijn bindend, kunnen niet worden geannuleerd of geretourneerd, en vereisen voorafgaand akkoord.
2.4 Klanten kunnen na onboarding en goedkeuring op rekening bestellen via de webshop. De webshop dient tevens als digitale catalogus.
2.5 Levering geschiedt, indien voorradig in Europa, binnen 14 dagen na orderbevestiging. Voor maatwerk en importproducten gelden afwijkende termijnen.
2.6 Transport wordt standaard verzorgd door FEROX, tenzij anders schriftelijk overeengekomen.
Artikel 3 – Prijzen, verzendkosten en betaling
3.1 Alle prijzen zijn exclusief btw, verpakkings- en verzendkosten, tenzij anders vermeld.
3.2 Voor producten afkomstig uit EU-lidstaten geldt een minimum orderbedrag van €350,- excl. btw. Voor producten van buiten de EU geldt een minimum orderbedrag van €500,- excl. btw.
3.3 Indien het minimum orderbedrag niet wordt gehaald, worden de volgende verzendkosten in rekening gebracht:
• EU-producten: €45,-
• Niet-EU-producten: €80,-
3.4 Betaling dient te geschieden binnen 14 dagen na factuurdatum, tenzij anders overeengekomen.
3.5 Bij uitblijven van betaling is FEROX gerechtigd wettelijke handels rente en incassokosten in rekening te brengen.
3.6 FEROX behoudt zich het recht voor om leveringen op te schorten of toekomstige bestellingen te weigeren bij wanbetaling.
Artikel 4 – Garantie, klachten en retour
4.1 FEROX is distributeur en geen fabrikant. Garantie op producten is uitsluitend gebaseerd op de voorwaarden van de fabrikant (bijvoorbeeld LPD Trade Inc.).
4.2 Bij defecten of klachten treedt FEROX op als tussenpersoon tussen klant en fabrikant, zonder eigen aansprakelijkheid.
4.3 Klachten dienen binnen 5 werkdagen na levering schriftelijk te worden gemeld. Na deze termijn vervalt het recht op reclamatie.
4.4 Retourzendingen zijn alleen mogelijk na schriftelijk akkoord van FEROX en gelden niet voor maatwerkproducten. Bij maatwerk kan een aanbetaling of schriftelijk commitment vereist zijn.
4.5 De klant is verantwoordelijk voor een correcte toepassing van het product. FEROX aanvaardt geen aansprakelijkheid voor schade door verkeerd gebruik, onjuist advies of veranderde regelgeving.
Artikel 5 – Aansprakelijkheid
5.1 Alle producten van FEROX zijn gericht op professioneel gebruik in technische of industriële omgevingen.
5.2 De klant is volledig verantwoordelijk voor toepassing binnen de geldende nationale of Europese wetgeving, waaronder maar niet beperkt tot ATEX- en ESD-richtlijnen.
5.3 FEROX sluit elke vorm van aansprakelijkheid uit voor directe en indirecte schade, waaronder gevolgschade, bedrijfsstilstand of letsel.
5.4 FEROX levert op basis van informatie van derden (zoals fabrikanten) en geeft geen garanties over volledigheid of juistheid van technische specificaties.
5.5 Productkeuze, installatie, onderhoud en inspectie zijn de verantwoordelijkheid van de klant.
Artikel 6 – Eigendomsvoorbehoud
6.1 Alle geleverde producten blijven eigendom van FEROX tot het volledige factuurbedrag is voldaan.
6.2 De klant is niet gerechtigd producten te verkopen, verhuren, verpanden of anderszins te vervreemden zolang deze eigendom zijn van FEROX.
Artikel 7 – Herverkoop en distributie
7.1 Doorverkoop van producten van FEROX is alleen toegestaan na schriftelijke toestemming.
7.2 FEROX levert uitsluitend aan eindgebruikers, tenzij schriftelijk anders is overeengekomen.
Artikel 8 – Intellectueel eigendom en documentatie
8.1 Alle technische documenten, productinformatie en afbeeldingen blijven eigendom van FEROX of de oorspronkelijke fabrikant.
8.2 Deze informatie mag niet zonder schriftelijke toestemming worden gekopieerd, verspreid of commercieel gebruikt.
Artikel 9 – Overmacht
9.1 In geval van overmacht is FEROX niet gehouden haar verplichtingen na te komen. Onder overmacht wordt onder meer verstaan: natuurrampen, oorlog, pandemieën, stakingen, overheidsmaatregelen, vertragingen bij leveranciers, douane of transporteurs.
9.2 In voorkomende gevallen zal FEROX zich inspannen om alsnog binnen redelijke termijn te leveren of een alternatieve oplossing te bieden.
Artikel 10 – Wijziging voorwaarden
10.1 FEROX behoudt zich het recht voor deze algemene voorwaarden te wijzigen.
10.2 De meest actuele versie is te vinden op www.feroxproducts.nl.
Artikel 11 – Toepasselijk recht en geschillen
11.1 Op alle overeenkomsten is uitsluitend Nederlands recht van toepassing.
11.2 Geschillen worden bij voorkeur in onderling overleg opgelost. Indien dit niet lukt, is de rechtbank Noord-Nederland, locatie Groningen, exclusief bevoegd.
Artikel 12 – Disclaimer
De informatie op de website van FEROX Products B.V. en bijbehorende documentatie is met zorg samengesteld. FEROX aanvaardt geen enkele aansprakelijkheid voor onjuistheden, onvolledigheden of eventuele wijzigingen in (inter)nationale regelgeving. Klanten blijven zelf verantwoordelijk voor naleving van wet- en regelgeving op het gebied van ESD-, ATEX- of andere relevante normen. FEROX is een handelsbedrijf en geen fabrikant of technisch adviesbureau.
General Terms and Conditions – FEROX Products B.V.
Article 1 – General
1.1 These general terms and conditions apply to all offers, quotations, deliveries, orders and agreements from FEROX Products B.V., located at Warmoltseiland 25, 9766 VH Eelderwolde, the Netherlands, registered with the Dutch Chamber of Commerce under number 77849361.
1.2 FEROX Products B.V. (hereinafter referred to as “FEROX”) supplies exclusively to business customers (B2B).
1.3 Deviations from these terms and conditions are only valid if agreed upon in writing.
1.4 Deliveries are mainly made within the Netherlands, and upon request also in Belgium and Luxembourg.
Article 2 – Quotations, Orders and Custom Work
2.1 All quotations from FEROX are non-binding and subject to availability and price changes.
2.2 After a quotation is accepted or an order is placed by the customer, the agreement is only concluded upon written order confirmation by FEROX or receipt of a signed purchase order.
2.3 Orders for custom-made products (“specials”) are carried out only in consultation with the customer and the manufacturer. These orders are binding, cannot be cancelled or returned, and require prior approval.
2.4 After onboarding and approval, customers can order on account through the webshop, which also serves as a digital catalogue.
2.5 Delivery will take place within 14 days after order confirmation if the product is available in Europe. For custom and imported products, different delivery times may apply.
2.6 FEROX arranges transport unless otherwise agreed in writing.
Article 3 – Prices, Shipping Costs and Payment
3.1 All prices are exclusive of VAT, packaging, and shipping costs, unless stated otherwise.
3.2 For products originating from EU member states, a minimum order value of €350 excl. VAT applies. For products from outside the EU, the minimum order value is €500 excl. VAT.
3.3 If the minimum order amount is not reached, the following shipping costs apply:
• EU products: €45
• Non-EU products: €80
3.4 Payment must be made within 14 days of the invoice date, unless otherwise agreed.
3.5 In case of late payment, FEROX is entitled to charge statutory commercial interest and collection costs.
3.6 FEROX reserves the right to suspend deliveries or refuse future orders in the event of non-payment.
Article 4 – Warranty, Complaints and Returns
4.1 FEROX acts as a distributor and not as a manufacturer. Product warranties are exclusively based on the warranty terms of the respective manufacturer (e.g. LPD Trade Inc.).
4.2 In case of defects or complaints, FEROX acts as an intermediary between the customer and the manufacturer, without assuming liability.
4.3 Complaints must be submitted in writing within 5 working days of delivery. After this period, the right to submit a complaint expires.
4.4 Returns are only accepted with written approval from FEROX and are not applicable to custom-made products. For custom work, a deposit or written commitment may be required.
4.5 The customer is responsible for the proper application of the products. FEROX accepts no liability for damage resulting from incorrect use, inaccurate advice, or changes in legislation.
Article 5 – Liability
5.1 All products supplied by FEROX are intended for professional use in technical or industrial environments.
5.2 The customer is solely responsible for ensuring compliance with applicable national and European laws and regulations, including but not limited to ATEX and ESD directives.
5.3 FEROX excludes all liability for direct or indirect damages, including consequential damages, business interruption, or personal injury.
5.4 FEROX relies on information provided by third parties (such as manufacturers) and does not guarantee the completeness or accuracy of technical specifications.
5.5 Product selection, installation, maintenance, and inspection are the sole responsibility of the customer.
Article 6 – Retention of Title
6.1 All products delivered remain the property of FEROX until the full invoice amount has been paid.
6.2 The customer is not permitted to sell, rent out, pledge, or otherwise dispose of products that are still the property of FEROX.
Article 7 – Resale and Distribution
7.1 Resale of FEROX products is only permitted with prior written consent.
7.2 FEROX supplies exclusively to end users, unless otherwise agreed in writing.
Article 8 – Intellectual Property and Documentation
8.1 All technical documents, product information, and images remain the property of FEROX or the original manufacturer.
8.2 This information may not be copied, distributed, or commercially used without written consent.
Article 9 – Force Majeure
9.1 FEROX is not obliged to fulfil its obligations in cases of force majeure. This includes, but is not limited to: natural disasters, war, pandemics, strikes, government actions, supplier delays, customs delays, or transport issues.
9.2 In such cases, FEROX will make reasonable efforts to deliver within an acceptable timeframe or offer an alternative solution.
Article 10 – Amendments to Terms
10.1 FEROX reserves the right to amend these general terms and conditions.
10.2 The most recent version is available at www.feroxproducts.nl.
Article 11 – Applicable Law and Jurisdiction
11.1 All agreements are governed exclusively by Dutch law.
11.2 Disputes shall be resolved preferably through mutual consultation. If this fails, the competent court in Groningen, the Netherlands, shall have exclusive jurisdiction.
Article 12 – Disclaimer
The information provided on the website of FEROX Products B.V. and in its documentation is compiled with care. However, FEROX accepts no liability for inaccuracies, omissions, or any changes in (inter)national regulations. Customers are responsible for ensuring compliance with applicable laws and standards, including but not limited to ESD and ATEX. FEROX is a trading company and not a manufacturer or technical consultancy firm.
